Acceptance and Eligibility
By accessing the website, purchasing, registering, applying or participating in an ADW LIVE experience, you agree to these Terms of Use and any event-specific terms, rules, disclosures or waivers presented at checkout or registration. If you do not agree, do not use the relevant service.
You must be legally able to enter into a binding agreement. A parent or legal guardian must complete transactions and consents for a minor where required.
Website and Event Information
ADW LIVE works to keep event descriptions, dates, hours, venues, lineups, vendors, prices and availability accurate. Live events change, and programming, schedules, attractions, participating vendors, layouts or policies may be modified for safety, operations, weather, venue requirements or other reasonable causes. A change does not automatically create a right to a refund unless required by law or stated in the applicable purchase terms.
Tickets and Registration
Each attendee must hold the admission or credential required for the relevant event. Tickets, confirmations and QR codes may not be duplicated, altered, counterfeited or used for unauthorized resale, promotion or commercial activity. ADW LIVE may cancel or refuse tickets obtained through fraud, chargeback abuse or prohibited resale.
Competition, parade, workshop, VIP or other add-on registrations do not include general admission unless the product description clearly says they do. Purchasers are responsible for entering accurate contact and attendee details and for sharing applicable rules with every person in their order.
Prices, Payments and Fees
Prices, taxes and any processing fees are shown before payment. Payments may be processed by Stripe or another identified provider, and that provider’s checkout terms also apply. You authorize the total displayed at checkout and represent that you are permitted to use the selected payment method.
A payment confirmation does not waive event-entry, age, conduct, safety, capacity or credential requirements.
Refunds, Transfers, Cancellations and Changes
Except where required by law or expressly stated during checkout, purchases are final and nonrefundable. Event-specific refund or transfer rules shown at the time of purchase control if they differ from this general rule. Tickets may be transferable only when ADW LIVE or the ticket provider allows it and may not be resold for prohibited commercial purposes.
If ADW LIVE cancels an event, purchasers will receive the remedy described in the cancellation notice. ADW LIVE is not responsible for travel, lodging, parking, third-party purchases or other incidental costs.
Entry, Conduct and Safety
Admission is subject to capacity, security screening, posted venue rules and lawful instructions from ADW LIVE, venue, security, medical or public-safety personnel. We may deny entry or remove a person, without refund to the fullest extent permitted by law, for unsafe, threatening, abusive, disruptive, intoxicated, fraudulent, unlawful or policy-violating conduct.
Guests are responsible for their property and personal decisions. Prohibited items, bag rules, re-entry rules and other operational requirements may be announced before or at the event.
Minors, Alcohol and Animals
Parents and guardians are responsible for minors in their care. Alcohol may be purchased and consumed only by guests who meet legal age and identification requirements and only in authorized areas. ADW LIVE may refuse alcohol service at any time.
Where pets are permitted, handlers remain fully responsible for control, cleanup, vaccination, behavior and compliance with posted rules. Service animals are handled in accordance with applicable law. An animal may be removed when it creates a safety risk or is not under control.
Contests, Prizes and Activations
Contests, competitions, giveaways, quests and activations may have additional official rules, eligibility requirements, judging criteria, deadlines and releases. Winners are subject to verification. Prizes may be withheld or reassigned for ineligibility, fraud, rule violations or failure to complete required documentation.
Unless official rules state otherwise, taxes and costs associated with accepting or using a prize are the winner’s responsibility.
Vendors, Creators, Ambassadors and Partners
An application or payment does not override a signed agreement, insurance requirement, permit, license, safety standard, category review or venue approval. Placement is determined by layout, guest flow, category balance, operations and safety. Premium placement or participation does not guarantee a specific location, attendance level, sales result, media exposure or exclusivity unless confirmed in a signed agreement.
Participants provide their own equipment, staffing, inventory, permits, licenses, taxes, insurance and power unless ADW LIVE confirms otherwise in writing.
Photography, Video and Media
ADW LIVE events may be photographed, filmed or recorded. By entering an event area, you understand that your image, voice or likeness may appear incidentally in crowd, atmosphere, news, security or promotional recordings, subject to applicable law and posted notices.
Commercial productions, professional equipment, interviews, livestreams or content captured for a brand may require advance written approval. Contact ADW LIVE before the event if you have a specific accessibility, safety or privacy concern.
Intellectual Property and Submissions
ADW LIVE™, Audience Driven Worlds, Takeover™ names, logos, designs, graphics, photographs, video, copy, software and other site or event materials are owned by or licensed to ADW LIVE and are protected by intellectual-property laws. They may not be copied, modified, distributed or commercially used without written permission.
When you voluntarily submit an application, pitch, image, testimonial or other content, you confirm that you have the right to submit it and grant ADW LIVE a nonexclusive right to use it as reasonably necessary to review, administer and promote the relevant relationship or experience, subject to applicable law and any separate agreement.
Third-Party Services and Links
Stripe, social networks, maps, ticketing platforms, vendors, sponsors and other third parties operate under their own terms. ADW LIVE is not responsible for third-party products, availability, content, policies or acts, except where the law provides otherwise. A link or logo does not automatically mean ADW LIVE endorses every third-party offering.
Disclaimers
The website is provided on an “as available” basis. To the fullest extent permitted by law, ADW LIVE disclaims implied warranties regarding uninterrupted availability, error-free operation, merchantability, fitness for a particular purpose and noninfringement. Nothing in these Terms removes warranties or consumer rights that cannot legally be excluded.
Limitation of Liability
To the fullest extent permitted by law, ADW LIVE and its officers, employees, contractors and affiliates are not liable for indirect, incidental, special, exemplary or consequential damages arising from website use, third-party services or event participation. Any limitation applies only to the extent lawful and does not limit liability that cannot legally be limited.
Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses or costs caused by your unlawful conduct, your violation of these Terms, your infringement of another person’s rights or content and materials you submit. This section does not require you to indemnify ADW LIVE for its own unlawful conduct.
Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules, except where another law must apply. Before filing a formal claim, the parties agree to make a good-faith effort to resolve the issue by contacting hello@adwlive.com. Any court proceeding that is not otherwise required to be brought elsewhere will be brought in a court of competent jurisdiction serving Clark County, Nevada.
Changes, Severability and Contact
We may update these Terms by posting a revised effective date. The terms in effect when a purchase is completed continue to govern that purchase unless a change is required by law. If one provision is unenforceable, the remaining provisions remain in effect to the extent possible.
